Agreement to Terms
By accessing or using the services of Business Website Care ("we", "our", or "us"), you agree to be bound by these Terms of Service. If you disagree with any part of these terms, you may not use our services.
Services Provided
Business Website Care provides professional website design, development, hosting, management, and maintenance services for businesses. Our services include but are not limited to:
- Website design and development
- Website hosting and domain management
- Ongoing website maintenance and updates
- Technical support and troubleshooting
- Security monitoring and backups
- Performance optimization
Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information required for service delivery
- Provide timely feedback and approval when requested
- Supply content, images, and materials that you have the legal right to use
- Ensure all content complies with applicable laws and regulations
- Make timely payments according to agreed payment terms
- Not use our services for any illegal or unauthorized purpose
Payment Terms
One-Time Build Projects
- 50% deposit required before work commences
- Remaining balance due upon project completion
- Payment required before website goes live
Monthly Management Services
- Payment due monthly in advance
- Services continue on a rolling monthly basis
- 30 days notice required for cancellation
Late Payments
Late payments may result in:
- Suspension of services until payment is received
- Late payment fees as permitted by law
- Website takedown for non-payment exceeding 14 days
Intellectual Property
Client-Provided Content
You retain all rights to content you provide (text, images, logos, etc.). You grant us a license to use this content solely for the purpose of delivering our services.
Developed Websites
Upon full payment:
- You own the content and final design of your website
- We retain rights to underlying code, frameworks, and reusable components
- We may showcase your website in our portfolio unless you request otherwise
Service Level & Availability
We strive to provide reliable services with minimal downtime. However:
- We do not guarantee 100% uptime
- Scheduled maintenance may occur with advance notice
- Emergency maintenance may occur without notice
- Response times for support requests are typically within 24-48 hours on business days
Warranties and Disclaimers
Our services are provided "as is" without warranties of any kind. We warrant that:
- We will perform services with reasonable skill and care
- Websites will be functional and reasonably free of defects
- We will use industry-standard security practices
We do not warrant that:
- Services will be uninterrupted or error-free
- Your website will achieve specific business results
- All security threats will be prevented
Limitation of Liability
To the maximum extent permitted by law:
- Our total liability shall not exceed the fees paid by you in the 12 months prior to the claim
- We are not liable for indirect, consequential, or incidental damages
- We are not liable for loss of profits, revenue, data, or business opportunities
- We are not liable for damages caused by third-party services or hosting providers
Indemnification
You agree to indemnify and hold us harmless from any claims arising from:
- Content you provide that infringes third-party rights
- Your use of our services in violation of these terms
- Your violation of any laws or regulations
Data Backup and Security
We implement regular backups and security measures. However:
- You remain responsible for maintaining your own backups
- We are not liable for data loss due to circumstances beyond our control
- We recommend keeping copies of all critical content
Termination
By Client
- Monthly services: 30 days written notice required
- One-time projects: Cancellation fees may apply based on work completed
By Us
We may terminate services immediately if you:
- Fail to make payment
- Breach these terms
- Use services for illegal purposes
- Engage in abusive behavior toward our staff
Upon Termination
- You must pay all outstanding fees
- We will provide website files and data upon request (if payments are current)
- We may remove your website from our hosting
Third-Party Services
We may use third-party services (hosting, email, analytics, etc.). You acknowledge that:
- Third-party services have their own terms and policies
- We are not responsible for third-party service failures
- Third-party fees may apply and are subject to change
Modifications to Terms
We reserve the right to modify these terms at any time. Changes will be effective:
- Immediately for new clients
- 30 days after notice for existing clients
- Continued use of services constitutes acceptance of new terms
Governing Law
These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
Dispute Resolution
In the event of a dispute:
- We encourage informal resolution through direct communication
- If unresolved, mediation may be pursued before legal action
- Legal proceedings must be initiated within 12 months of the dispute arising
Severability
If any provision of these terms is found to be unenforceable, the remaining provisions shall remain in full effect.
Entire Agreement
These terms, together with our Privacy Policy and any written service agreements, constitute the entire agreement between you and Business Website Care.
